01 Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "Buyer," or "Seller") and Placeholder Technologies, operating under the trade name alted. ("we," "us," "our"), located at Flat-310, Block A-13, SSM Nagar, Alapakkam, New Perungalathur, Chennai - 600063, Tamil Nadu, India.
By creating an account, browsing the Platform, or completing a purchase or sale, you represent that you have read, understood, and agree to these Terms in full, along with our Privacy Policy, Seller Agreement (if applicable), and Refund Policy — all of which are incorporated herein by reference.
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023.
02 Definitions
- "Platform" means the website alt-ed.in and any associated mobile applications or services operated by alted.
- "Buyer" means any registered user who purchases digital assets through the Platform.
- "Seller" means any registered user who lists and sells digital assets through the Platform.
- "Digital Asset" means any downloadable file including but not limited to 3D models, sound effects (SFX) packs, visual effects (VFX) templates, PDF documents, presets, and other creative files.
- "Transaction" means any completed purchase of a Digital Asset on the Platform.
- "Platform Fee" means the commission deducted by alted. from each successful transaction.
- "Content" means all files, images, descriptions, metadata, and information uploaded or submitted to the Platform.
03 About the Platform
alted. is a digital marketplace that connects Indian independent creators ("Sellers") with buyers seeking digital assets for personal and commercial use. alted. acts solely as an intermediary facilitating these transactions and is not a party to any transaction between Buyers and Sellers unless expressly stated.
alted. does not create, own, or warrant the quality of any Digital Asset listed on the Platform, except for any assets explicitly marked as created by alted. itself.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, and shall not be liable to you or any third party for such changes.
04 User Accounts
Registration
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
Age Requirements
Any individual may register as a Buyer on the Platform. However, Seller registration requires you to be at least 18 years of age and to complete KYC verification (including PAN card submission). By registering as a Seller, you represent that you meet these eligibility requirements.
Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. You must immediately notify us of any unauthorized use at contact@alt-ed.in. alted. is not liable for any loss resulting from unauthorized account access.
One Account Per User
Each person may maintain only one active account. Creating multiple accounts to circumvent restrictions, bans, or Platform policies is prohibited and may result in permanent suspension of all associated accounts.
05 Buyer Terms
Purchasing Digital Assets
When you purchase a Digital Asset, you receive a non-exclusive, non-transferable, revocable licence to use that asset in accordance with the licence terms specified on the product listing. Unless explicitly stated as a "Commercial Licence," all purchases grant personal use rights only.
Licence Restrictions
You may not resell, redistribute, sublicense, share, or otherwise transfer any purchased Digital Asset to third parties. You may not claim authorship or represent a purchased Digital Asset as your own original creation. You may not use purchased assets in any manner that violates applicable law or third-party rights.
Digital Delivery
All purchases are delivered digitally via download link. alted. does not ship physical goods. Downloads are made available immediately upon successful payment. You are responsible for ensuring compatibility of the asset with your intended software or workflow.
Refunds
As Digital Assets are delivered immediately upon purchase, all sales are final except as outlined in our Refund & Cancellation Policy.
06 Seller Terms
Sellers are subject to the full Seller Agreement, which governs listing, pricing, payouts, prohibited content, and conduct expectations in detail. Key obligations are summarised below.
Originality & Ownership
By listing a Digital Asset, you represent and warrant that you are the original creator of the asset, hold all necessary rights to sell it, and that the asset does not infringe any third-party intellectual property rights.
Accuracy
All product descriptions, previews, and specifications must be accurate and not misleading. alted. reserves the right to remove listings that contain false or misleading information.
Platform Fee
alted. retains a platform fee of 10% of the transaction value for each completed sale. Payouts of the remaining 90% are processed according to the payout schedule outlined in the Seller Agreement.
07 Payments & Fees
Payment Processing
All payments on the Platform are processed by third-party payment service providers, currently Cashfree Payments and/or Paytm (One97 Communications Ltd). By making or receiving payments on the Platform, you agree to the respective terms of service of these payment processors. alted. does not store full payment card details.
Currency
All transactions are conducted in Indian Rupees (INR). alted. does not currently support international currencies. Pricing displayed on the Platform is inclusive of applicable taxes unless otherwise stated.
Taxes
You are solely responsible for any applicable taxes arising from your use of the Platform, including but not limited to Goods and Services Tax (GST) on your earnings. alted. may be required by law to collect and remit applicable taxes and will do so in accordance with applicable regulations.
Failed Transactions
In the event of a payment failure, your order will not be processed. If your account has been debited and no asset was delivered, please contact us at contact@alt-ed.in and we will investigate and initiate a refund within 7 business days.
08 Intellectual Property
Platform Ownership
The alted. name, logo, website design, codebase, and proprietary content are the exclusive property of alted. and are protected under applicable intellectual property laws. You may not use, reproduce, or distribute any alted. branding or proprietary material without prior written consent.
User Content
Sellers retain ownership of all Digital Assets they upload. By listing an asset on the Platform, you grant alted. a non-exclusive, royalty-free, worldwide licence to display, promote, and feature your content for the purpose of operating and marketing the Platform (including promotional thumbnails, featured collections, and social media marketing). This licence terminates when your listing is removed.
DMCA / Takedown
If you believe that content on the Platform infringes your intellectual property rights, please send a written notice with full details to contact@alt-ed.in. We will investigate and take appropriate action, which may include removal of the infringing content.
09 Prohibited Conduct
You agree not to engage in any of the following:
- Uploading or distributing content that is plagiarized, stolen, or infringes any third-party copyright, trademark, or other intellectual property right
- Uploading malicious files, malware, spyware, or any harmful code
- Using the Platform to conduct any fraudulent activity, including payment fraud or fake reviews
- Attempting to reverse engineer, hack, scrape, or disrupt the Platform or its infrastructure
- Creating multiple accounts to circumvent bans, restrictions, or verification requirements
- Using bots or automated systems to interact with the Platform
- Uploading content that is illegal, obscene, defamatory, or violates the rights of any person
- Circumventing the Platform to transact directly with a Seller or Buyer found on alted., thereby avoiding Platform fees
- Misrepresenting your identity, credentials, or affiliation
Violation of any of the above may result in immediate account suspension, permanent banning, and legal action as appropriate.
10 Disclaimers & Limitation of Liability
No Warranty
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. alted. does not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We do not warrant the quality, accuracy, completeness, or fitness for a particular purpose of any Digital Asset listed by Sellers.
Limitation of Liability
To the maximum extent permitted under applicable Indian law, alted. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of data, loss of profits, or business interruption.
alted.'s total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount paid by you to alted. in the three (3) months immediately preceding the event giving rise to the claim.
Third-Party Links & Services
The Platform may contain links to third-party websites or services. alted. is not responsible for the content, privacy practices, or availability of any third-party services and is not liable for any loss or damage caused by your use of them.
11 Termination
alted. reserves the right to suspend or permanently terminate your account at any time, with or without notice, if you violate these Terms, engage in conduct harmful to the Platform or its users, or for any other reason we deem appropriate in our sole discretion.
You may terminate your account at any time by contacting us at contact@alt-ed.in. Upon termination, your right to use the Platform ceases immediately. Any pending payouts owed to Sellers will be processed in accordance with the Seller Agreement, subject to any outstanding violations or disputes.
Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall continue to apply.
12 Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, both parties agree to first attempt to resolve the dispute informally by contacting alted. at contact@alt-ed.in. If the dispute cannot be resolved informally within 30 days, either party may pursue available legal remedies.
Amendments
alted. reserves the right to modify these Terms at any time. We will provide reasonable notice of material changes by posting the updated Terms on the Platform with a revised effective date. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
