01 Introduction
This Seller Agreement ("Agreement") is a binding contract between you ("Seller") and Placeholder Technologies, trading as alted. ("Platform," "we," "us," "our"), governing your use of the Platform's seller-facing features to list, promote, and sell Digital Assets.
By completing Seller registration, including KYC verification, you confirm that you have read, understood, and agree to this Agreement in its entirety. Continued use of the seller features constitutes your acceptance of any future amendments.
02 Eligibility & KYC
Age Requirement
You must be at least 18 years of age to register as a Seller on alted. By submitting Seller registration, you represent that you meet this age requirement. If we discover that a Seller is under 18, the account will be immediately suspended and any pending payouts held pending review.
KYC Verification
As required under applicable Indian financial regulations and to enable payment processing and payout services, all Sellers must complete KYC verification by submitting a valid PAN (Permanent Account Number) card. Payouts will not be processed until KYC verification is complete and approved.
We reserve the right to request additional verification documents if required to comply with applicable law or payment processor requirements. Refusal to provide required verification may result in account suspension or termination.
Eligibility Representations
By registering as a Seller, you represent and warrant that you are legally capable of entering into binding contracts, and that your use of the Platform does not violate any applicable law, regulation, or third-party agreement.
03 Listing Requirements
Product Quality
All Digital Assets must be complete, functional, and as described. Preview images, descriptions, tags, and file formats must accurately represent the product. Listings that are misleading, incomplete, or non-functional will be removed without prior notice.
Accepted Asset Types
- 3D model files (.obj, .fbx, .blend, .stl, .gltf, and similar)
- Sound effects and audio packs (.wav, .mp3, .aiff, and similar)
- VFX templates and motion graphics (.mogrt, .aep, and similar)
- Presets (Lightroom, Photoshop, Capture One, DaVinci Resolve, and similar)
- PDF guides, tutorials, and reference documents
- Other digital creative assets as approved by alted. from time to time
File Delivery
Files must be uploaded in a compressed archive (.zip or .rar) along with a clear file structure and a readme or license file where applicable. Files must not exceed the maximum upload size specified on the Platform at the time of listing.
Pricing
Sellers set their own prices within the minimum and maximum limits specified on the Platform. Prices are displayed and transacted in INR. alted. reserves the right to request adjustments to pricing that is deemed abusive, artificially inflated, or misleading.
Listing Approval
alted. reserves the right to review, approve, reject, or remove any listing at its sole discretion without obligation to provide a reason, though we will make reasonable efforts to notify Sellers of rejected listings.
04 Prohibited Content
The following content is strictly prohibited from being listed on alted.:
- Plagiarized, stolen, or unlicensed content derived from third-party work without authorization
- Content containing malware, viruses, spyware, or any malicious code
- Sexually explicit, pornographic, or obscene content
- Content that depicts or promotes violence, hate speech, discrimination, or harm to any individual or group
- Content that infringes any third-party copyright, trademark, patent, or other intellectual property right
- Content that violates any applicable Indian or international law
- Incomplete, placeholder, or intentionally broken files
- AI-generated content that is resold without clear disclosure in the listing description
- Content that includes personally identifiable information of third parties without their consent
05 Platform Fees
alted. charges a platform fee for each completed transaction to cover infrastructure, payment processing, and operational costs.
The platform fee is automatically deducted from each transaction before payout. For example, on a sale of ₹1,000, alted. deducts ₹100 and you receive ₹900 (before applicable taxes and payment processing charges).
Payment processor transaction fees (charged by Cashfree or Paytm) may additionally apply and will be deducted before payout. These fees are set by the respective payment processors and are not controlled by alted.
alted. reserves the right to modify the platform fee percentage with a minimum of 30 days' written notice to active Sellers.
06 Payouts
Payout Schedule
Payouts are processed automatically via Cashfree or Paytm to the bank account or UPI ID registered on your Seller profile. Payouts are typically initiated within 7 business days of a completed and non-disputed transaction.
Payout Hold
Payouts may be held in the following circumstances: KYC verification is incomplete or pending; a refund request or dispute related to the transaction is open; we have reason to suspect fraudulent activity; or you have an outstanding policy violation under review.
Minimum Payout
A minimum payout threshold may apply as specified on the Platform. Balances below the threshold will be accumulated and paid out once the threshold is reached or at the end of each calendar month, whichever comes first.
Failed Payouts
If a payout fails due to incorrect bank details or UPI ID, you are responsible for updating your payout information. alted. is not liable for payout failures caused by incorrect information provided by the Seller.
07 Intellectual Property & Ownership
By listing a Digital Asset on alted., you represent, warrant, and guarantee that:
- You are the sole original creator of the asset, or hold a valid licence permitting you to resell it on the Platform
- The asset does not infringe any third-party copyright, trademark, patent, trade secret, or other intellectual property or proprietary right
- You have the full legal authority to grant buyers the licence specified on your listing
- The asset does not contain any third-party materials (including stock assets, fonts, or software) whose licence terms prohibit resale or redistribution
You retain full ownership of your Digital Assets. By listing on the Platform, you grant alted. a limited, non-exclusive, royalty-free licence to display, thumbnail, and promote your listing for the purposes of operating the Platform and marketing alted. to potential buyers. This licence is limited in scope and does not transfer ownership.
Indemnification
You agree to indemnify, defend, and hold harmless alted. and its proprietor, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your breach of the representations in this section, or any third-party claim that your Digital Asset infringes their intellectual property rights.
08 Plagiarism & Infringement Policy
First Violation
Upon receiving a credible report of a plagiarized or infringing listing, alted. will: immediately remove the listing from the Platform; issue a formal written warning to the Seller; place a hold on any payouts related to the infringing listing pending investigation.
Second Violation
A second substantiated infringement will result in immediate account suspension, withholding of pending payouts from infringing transactions, and a formal notice of ban pending appeal.
Third Violation / Serious Infringement
A third violation, or any single case of severe, deliberate, or commercial-scale infringement, may result in permanent account termination, forfeiture of pending payouts, and potential reporting to relevant authorities or the original rights holder.
Refund Position
In cases of plagiarized content, buyers are not automatically entitled to a refund from alted. This is because the digital file was delivered as listed. However, alted. may exercise its discretion to issue goodwill refunds in clear and severe cases of infringement. Sellers found to have listed plagiarized content remain liable to alted. for any refunds or losses incurred.
Reporting Infringement
If you believe a listing on alted. infringes your work, please contact contact@alt-ed.in with a description of your original work, evidence of ownership, and the URL of the infringing listing. We will investigate within 7 business days.
09 Buyer Disputes
If a buyer raises a dispute or refund request related to your listing, alted. will notify you and may request your response within 48 hours. alted.'s determination on disputes is final and may result in a refund being issued to the buyer, which will be deducted from your payout balance.
Sellers who accumulate a disproportionate number of disputes or refund requests may have their accounts reviewed, and listings may be suspended pending investigation.
10 Account Suspension & Bans
alted. reserves the right to suspend or permanently ban any Seller account for violations of this Agreement, the Terms & Conditions, or any applicable law. Reasons for suspension include but are not limited to: repeated IP violations, fraud, misrepresentation, excessive disputes, or behaviour harmful to the Platform or its community.
Banned Sellers may not re-register under a different identity or email address. Any attempt to circumvent a ban will result in immediate removal and potential legal action.
Where possible, alted. will provide reasonable notice before suspension and an opportunity to respond. For serious violations (fraud, malware, severe IP infringement), suspension may be immediate and without prior notice.
11 Taxes & Compliance
You are solely responsible for determining your own tax obligations arising from your sales on alted., including but not limited to income tax and GST. alted. does not provide tax advice and is not responsible for any tax liabilities incurred by Sellers.
Where required by law, alted. may deduct TDS (Tax Deducted at Source) from payouts and remit the same to the relevant tax authority. You will be provided with the appropriate TDS certificate (Form 16A or similar) as required.
By providing your PAN card, you authorise alted. to use it for TDS compliance and reporting as required under Indian tax law.
12 Termination
Either party may terminate this Agreement at any time. You may close your Seller account by contacting contact@alt-ed.in. Upon termination, your listings will be removed from the Platform, and any outstanding payouts will be processed within 30 days, subject to the resolution of any open disputes or policy violations.
Provisions relating to intellectual property, indemnification, limitation of liability, and governing law will survive termination of this Agreement.
